TERMS OF USE, SERVICE TERMS & CLIENT AGREEMENT

Effective Date: July 11, 2026

1. Introduction and Acceptance of Terms

This Terms of Use, Service Terms, and Client Agreement ("Agreement") constitutes a legally binding agreement between Alma Sanctuaries ("Alma," "Company," "we," "our," or "us") and any individual, entity, organization, host, guest, participant, visitor, or representative ("Client," "Participant," "you," or "your") who accesses Alma’s website, communicates with Alma, requests information, reserves services, enters Alma property, participates in an experience, or otherwise engages with our brand.

Alma Sanctuaries is a private sanctuary, gathering destination, and experiential platform offering curated spaces, private gatherings, retreats, workshops, personal guidance, ceremonies, and wellness experiences.

By interacting with Alma in any capacity, you acknowledge that you have carefully reviewed, understood, and voluntarily agreed to be bound by this Agreement. If you do not agree with these Terms, you may not access Alma’s services, property, programs, or experiences.

2. Purpose and Nature of Alma Services

Alma provides carefully curated, nature-based environments intended to support connection, reflection, creativity, wellness, community, and personal development. Our offerings may include, without limitation:

  • Private gatherings and hospitality offerings

  • Retreat experiences and workshops

  • Ceremonies and wellness activities

  • Private guidance and personal exploration sessions

  • Use of dedicated Alma spaces, sanctuaries, and facilities

Important Professional Disclaimer: Alma’s offerings are experiential and educational in nature. They do not constitute medical, psychological, psychiatric, therapeutic, legal, financial, or other regulated professional services. No statement, communication, material, or experience provided by Alma shall be interpreted as a medical diagnosis, treatment plan, guarantee of specific results, or professional medical advice.

3. Inquiry, Acceptance, and Formation of Client Relationship

All engagements with Alma begin through a formal inquiry and review process.

  • No Automatic Contract: The submission of an inquiry, request for information, initial consultation, or application does not create a contractual relationship or guarantee acceptance.

  • Sole Discretion: Alma maintains absolute discretion to determine whether a proposed gathering, event, retreat, participant, or host aligns with our brand standards, core values, operational capabilities, safety protocols, and availability.

  • Binding Agreements: A binding operational relationship exists only after Alma explicitly confirms acceptance of the engagement, the scope of services and fees are defined, and all required digital agreements are executed and payments are processed.

Alma reserves the right to decline any service request without an obligation to provide justification, except where prohibited by applicable law.

4. Use of Alma Property and Private Spaces

Where Alma grants physical access to properties, facilities, gathering spaces, or hospitality areas (such as our featured Box Canyon Sanctuary), such access is permitted strictly for the approved purpose, date, duration, guest count, and activities mutually agreed upon in writing.

  • No Tenancy Granted: Access to Alma properties is a temporary, revocable license. Nothing contained herein grants the Client any ownership, tenancy, possession, leasehold, or permanent property interest in Alma locations.

  • Operational Control: Alma retains sole and ultimate authority over property standards, safety protocols, access limitations, and guest conduct requirements.

Client shall not permit any unapproved activity, unauthorized guests, or outside vendors on the property without explicit, advance written approval from Alma management.

5. Host Responsibilities and Guest Liability

For hosted gatherings, retreats, workshops, or private events, the organizing Client assumes full operational and financial responsibility for all individuals associated with their booking, including guests, attendees, third-party vendors, contractors, facilitators, and representatives.

The Client is directly responsible for:

  1. Ensuring the accuracy of all attendee profiles and registration information.

  2. Managing guest behavior and ensuring total compliance with Alma's on-site property rules.

  3. The protection and preservation of Alma property, structures, and surrounding natural landscapes.

  4. Coordinating and vetting any permitted third-party service providers.

Enforcement: Any violation of these Terms by a guest, vendor, or representative shall legally be treated as a direct violation by the Client.

6. Property Damage, Loss, and Restoration

The Client accepts absolute financial liability for any damage, loss, structural destruction, excessive cleaning requirements, or unauthorized modifications caused by the Client, their guests, or their hired vendors.

Alma reserves the right to recover all reasonable costs associated with restoration, repairs, professional deep cleaning, replacement of property, or operational remediation. This financial obligation strictly survives the termination of any client relationship or event conclusion.

7. Third-Party Providers and Services

Alma may permit, refer, or recommend independent third-party providers, including but not limited to caterers, photographers, independent facilitators, wellness practitioners, or transportation services.

Unless expressly stated otherwise in a formal written addendum, these third parties operate completely independently of Alma. Alma does not control, guarantee, supervise, or assume liability for the quality, safety, or execution of third-party services. Any agreement, dispute, claim, or transaction involving a third-party provider exists solely between the Client and that respective third party.

8. Personal Responsibility and Assumption of Risk

Participation in Alma experiences frequently involves physical natural environments, travel, outdoor wilderness areas, physical wellness activities, and deep personal exploration.

  • Voluntary Assumption: Clients and participants voluntarily assume full responsibility for their own choices, physical conduct, health considerations, personal safety, and physical belongings while on Alma property.

  • No Outcomes Guaranteed: Alma does not guarantee any specific emotional, spiritual, health, personal, or creative outcomes. Each participant is solely responsible for determining whether an experience or environment is appropriate for their unique physical health and personal circumstances.

9. Release and Limitation of Liability

To the maximum extent permitted under applicable law, the Client agrees that Alma Sanctuaries, its owners, affiliates, corporate representatives, employees, landowners, independent contractors, and partners shall not be held liable for any claim, financial loss, property damage, legal liability, expense, or injury arising from or related to:

  • Participation in Alma retreats, ceremonies, or activities.

  • The physical use or navigation of Alma properties and natural terrains.

  • The performance or failure of independent third-party vendors.

  • Personal decisions made by the client during or after an experience.

  • Force majeure interruptions or event adjustments.

Participation in any capacity is strictly voluntary and undertaken with an explicit awareness of the inherent liabilities involved.

10. Confidentiality and Respect for Private Experiences

Alma is designed as an intentional, highly private, and secure environment.

  • Mutual Respect: Clients and participants agree to fiercely respect the privacy, personal dignity, and confidentiality of all other individuals sharing the space.

  • Media Restrictions: Participants are strictly prohibited from disclosing, distributing, recording, publishing, or sharing another individual’s personal stories, identity, or private experiences on social media or public platforms without explicit, documented authorization from that individual.

11. Reputation and Professional Conduct

Alma values transparent communication and constructive feedback.

  • Good Faith Resolution: Client agrees that any operational concerns, disputes, or dissatisfaction regarding an experience shall first be communicated directly to Alma management in good faith to allow an amicable opportunity for mutual resolution.

  • Defamation & Brand Protection: Client agrees not to knowingly publish, communicate, or distribute false, misleading, defamatory, or maliciously harmful statements regarding Alma, its owners, representatives, or properties.

Nothing in this section is intended to prohibit truthful statements, legally protected communications, or consumer rights that cannot legally be waived.

12. Intellectual Property and Brand Protection

All intellectual property assets associated with Alma Sanctuaries—including but not limited to the brand name, digital logos, custom trademarks, website copy, professional photography, proprietary programming frameworks, educational materials, and creative directions—remain the exclusive property of Alma.

Unauthorized corporate reproduction, commercial exploitation, or false representations of an official affiliation with Alma are strictly prohibited.

13. Payments and Financial Terms

All booking fees, security deposits, payment installments, and specific cancellation windows shall be established directly in the client’s specific service invoice or booking confirmation.

Once an engagement is formally accepted, financial payment obligations become binding. Alma reserves the right to suspend digital access, cancel event registrations, or deny physical entry to properties for failure to fully satisfy established financial obligations.

14. Cancellation and Force Majeure

Alma shall not be held responsible or legally liable for delays, cancellations, modifications, or an inability to perform services due to circumstances beyond our reasonable control. This includes, without limitation: natural disasters, extreme weather events, government mandates, travel restrictions, public health emergencies, sudden safety hazards, or property infrastructure failures.

Specific booking cancellation policies will apply based on the unique nature of the individual contract.

15. International Operations and Future Expansion

Alma may expand its footprint internationally to encompass future properties, retreats, or cross-border travel experiences.

  • Jurisdictional Terms: International engagements may require separate legal addendums to address location-specific property laws, local safety regulations, and unique jurisdictional requirements.

  • Scope: Nothing in this core domestic Agreement shall be interpreted as creating structural obligations under foreign laws where such terms have not been explicitly established in a separate localized contract.

16. Governing Law

Unless otherwise explicitly stated in a localized written contract, this Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of California, United States. Any formal legal proceedings arising directly from this agreement must be executed in the appropriate courts holding jurisdiction in California.

17. Severability and Complete Agreement

  • Severability: If any single provision of this Agreement is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that specific provision shall be modified to the minimum extent necessary, and the remaining terms of this Agreement shall continue in full, uninterrupted force.

  • Entire Agreement: This document represents the definitive, complete understanding between Alma and the Client regarding its subject matter, completely superseding all prior verbal discussions, emails, marketing pitches, or initial representations.

ACKNOWLEDGMENT & COMPLIANCE

By accessing Alma’s website, submitting an official inquiry, processing payments, reserving services, entering an Alma sanctuary, hosting a private gathering, or participating in any managed Alma experience, you acknowledge that you have read, meticulously understood, and voluntarily agree to be bound by these comprehensive Terms.
